A dependable Florida registered agent for your business
Every Florida LLC and corporation, including out-of-state companies registered to do business here, must keep a registered agent with a Florida street address. We fill that role, receive legal papers and state notices for your company, and send them to you right away.
- Our Tampa registered office address to list on Sunbiz
- Prompt notice by email when we receive legal papers or state mail for your company
- Annual report reminders, with optional filing for $34.99 plus the state fee
What a registered agent does for you
Florida law requires your company to have someone at a Florida address who can accept lawsuits, subpoenas, and official notices during business hours. Missing one can lead to a default judgment or the loss of your company's active status.
Receive service of process
When a process server delivers a lawsuit, subpoena, or garnishment for your company, we accept it on your behalf at our registered office.
Notify you promptly
We scan what we receive and email it to the contact on file, usually the same or next business day, so you have the most time to respond.
Forward state correspondence
Notices from the Florida Department of State, Division of Corporations, including annual report reminders, come to us and we pass them along.

Annual report filing
Florida requires every LLC and corporation to file an annual report between January 1 and May 1. Reports filed after May 1 carry a $400 late fee, and companies that don't file are administratively dissolved in the fall.
Each year we remind you before the deadline. If you'd like us to file for you, confirm your company's details and we'll file the report with the state and charge your card on file. You're always free to file it yourself.
| Annual report filing | LLC | Corporation |
|---|---|---|
| SCS filing fee | $34.99 | $34.99 |
| Florida state fee | $138.75 | $150.00 |
| Total | $173.74 | $184.99 |
State fees are set by the Florida Division of Corporations and passed through at cost. Other entity types have different state fees.
Terms of Service
1. Who we are
SCS Registered Agent ("SCS," "we," or "us") is operated by SCS Registered Agent, LLC. These Terms of Service ("Terms") govern the registered agent service and any annual report filing service we provide to you (the "Services"). "You" and "Client" mean the business entity we serve and the person signing up on its behalf. By accessing this website or signing up, you confirm that you are authorized to bind the entity to these Terms.
2. Registered agent service
We will serve as your entity's registered agent in Florida and maintain a registered office at 3225 S. MacDill Ave, Ste 129-205, Tampa, FL 33629. During normal business hours we will:
- accept service of process, notices, and demands delivered to the registered office on your entity's behalf;
- forward them to the email address on file, generally by the end of the next business day after receipt, and mail the originals on request; and
- forward official correspondence we receive from the Florida Department of State concerning your entity.
We do not accept packages, accept or forward general business mail, or act as your mailing address. Mail other than legal process and government notices may be returned or discarded.
3. Appointment and acceptance
You are responsible for designating SCS as registered agent with the Florida Division of Corporations, whether in your formation or qualification documents, an annual report, or a statement of change. Our appointment takes effect when we have signed a written acceptance as required by Florida law (see sections 48.091, 605.0113, and 607.0501, Florida Statutes). We may decline any appointment.
4. Your responsibilities
- Keep your contact name, email address, phone number, and mailing address current with us, and tell us of any change within 10 days.
- Monitor the email address on file. Delivery to that address counts as notice to you.
- Respond to all legal process and government notices. Deadlines to respond generally begin when papers are served on us, not when you read them. Our role is limited to receiving and forwarding documents.
- Keep your entity's filings with the State of Florida accurate and current.
5. Fees and billing
The registered agent service costs $74.99 per year. All accounts are billed on January 1 for the calendar year that begins that day. If you sign up after January 1, no fee is charged for the rest of that year, and your first charge is on the following January 1. You authorize us, through our payment processor Stripe, to save your payment card and charge it each January 1 and for any annual report filing you request. If a payment fails, we may retry it and ask you to update your card. Fees are not refundable, including for partial years.
6. Automatic renewal and cancellation
Your service renews automatically each January 1 at the then-current annual fee, and your card is charged, until you cancel. We will email you at least 30 days before any change to the annual fee. You can cancel at any time by emailing scs@scsregisteredagent.com or through our online customer portal. Cancellation takes effect at the end of the current billing year. After cancelling, you must designate a new registered agent with the Division of Corporations. Until you do, we may forward documents we receive and may resign as described below.
7. Resignation by SCS
We may resign as your registered agent if your account is more than 30 days past due, if we cannot reach you at the contact information on file, if you breach these Terms, or for any other reason with notice to you. We will resign by filing a statement of resignation with the Division of Corporations and giving you any notice Florida law requires. A resignation takes effect as provided by statute (see sections 605.0116 and 607.0503, Florida Statutes).
8. Annual report filing service (optional)
Florida annual reports are due between January 1 and May 1 each year, and the state charges a $400 late fee for reports filed after May 1. Each year we will remind you of the deadline. If you ask us to file, we will prepare and file your annual report using information you provide or confirm, for $34.99 plus the state filing fee, charged to your card on file. You are responsible for the accuracy of that information. We are not responsible for late fees, penalties, or administrative dissolution if you do not respond to our reminder, confirm your information, or keep a valid card on file in time for us to file before May 1.
9. No legal, tax, or accounting advice
The Services are administrative. We do not give legal, tax, or accounting advice, and using the Services does not create an attorney-client relationship with SCS or anyone affiliated with it. Please consult your own attorney about any legal papers you receive.
10. Privacy
We use the information you give us only to provide the Services, bill you, and contact you about your account. Card details are collected and stored by Stripe and are never seen or stored by SCS. We do not sell your information. Note that your registered agent's name and address, and other information in your state filings, are public record on Sunbiz.
11. Limitation of liability
To the fullest extent permitted by law, our total liability for any claim arising from the Services is limited to the fees you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, special, or consequential damages, including default judgments, lost profits, or penalties, arising from any delay or failure in receiving, forwarding, or acting on documents, except to the extent caused by our gross negligence or willful misconduct. We are not responsible for delays caused by incorrect or outdated contact information, email delivery failures outside our control, or events beyond our reasonable control.
12. Indemnification
You agree to indemnify and hold harmless SCS and its owners, employees, and agents from any claims, losses, and expenses, including reasonable attorneys' fees, arising from your entity's business, your breach of these Terms, or inaccurate information you provide, except to the extent caused by our gross negligence or willful misconduct.
13. Governing law and venue
These Terms are governed by the laws of the State of Florida. Any dispute arising from these Terms or the Services will be brought exclusively in the state courts located in Hillsborough County, Florida.
14. Changes to these terms
We may update these Terms from time to time. We will post the updated Terms on this page and email you at least 30 days before any material change takes effect. Continuing the Services after that date means you accept the updated Terms.
